1) Who We Are

These Terms of Service (“Terms”) govern your use of the website, resources, and any online tools operated by Wizerbiz, Inc. dba Be Tax Ready (“Be Tax Ready,” “we,” “us,” “our”).

By accessing or using our website or booking a discovery call, you agree to these Terms and our [Privacy Policy]. If you do not agree, do not use the site.

2) Services & No Professional Advice

​

Content on this site is general information only and not individualized tax, legal, accounting, or financial advice. A client relationship with Be Tax Ready is formed only after both parties sign an engagement agreement and you complete onboarding through our secure portal. Until then, do not rely on site content as professional advice.

3) Eligibility & Permitted Use

​

You may use the site only for lawful purposes and in compliance with these Terms. Do not:

• Attempt to breach security, probe or scan systems, or introduce malware;

• Copy, scrape, or harvest content at scale;

• Use the site to send spam, harass others, or infringe rights.

 

4) Accounts, Portal & Security

​

If we provide login access (e.g., to a secure client portal), you are responsible for maintaining the confidentiality of your credentials and restricting access to your devices. Notify us immediately of any suspected unauthorized use.

5) Scheduling, Estimates & Engagements

​

Discovery calls are informational and do not create a client relationship. Any quotes/estimates are illustrative and subject to change based on scope and documents provided. Services, deliverables, fees, timelines, and responsibilities are defined in your signed engagement agreement, which controls in the event of a conflict with these Terms.

6) Fees, Billing & Refunds

​

If payments are processed through the site or a third-party processor, you agree to provide accurate billing information and authorize charges. Unless required by law or stated in your engagement agreement, fees are non-refundable once services begin or documents are reviewed. Late or unpaid balances may incur reasonable late fees as permitted by law.

7) Third-Party Services & Links

​

We may reference or integrate third-party tools (e.g., scheduling, payments, client portal, e-signature, analytics). Your use of those tools is governed by their terms and privacy policies. We are not responsible for third-party content, security, or practices.

8) Privacy

 

Your use of the site is also governed by our Privacy Policy, which explains what we collect, how we use it, and your choices. Please review it carefully.

9) Intellectual Property

​

The site, its design, text, graphics, logos, and other content are owned by or licensed to Wizerbiz, Inc. and protected by law. We grant you a limited, non-exclusive, non-transferable license to access and use the site for your personal, noncommercial use. You may not copy, modify, distribute, or create derivative works without our prior written consent. “Be Tax Ready” and related marks are trademarks of Wizerbiz, Inc.

10) Your Submissions & Testimonials

If you submit inquiries, feedback, or testimonials, you grant us a nonexclusive license to display and use them for our business (e.g., to respond to you, improve services, or showcase testimonials) in accordance with our Privacy Policy. Do not submit confidential information through unsecured channels; use the secure client portal for tax documents.

11) Disclaimers

THE SITE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the site will be uninterrupted, secure, or error-free, or that content is current, complete, or accurate. Laws and guidance change frequently.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BE TAX READY (AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR CONTENT. Our total liability for any claim relating to the site shall not exceed the greater of $100 or the amounts you paid to use the site (if any) in the 12 months before the claim. Different limits may apply to paid client services as defined in your engagement agreement.

 

13) Indemnification

You agree to indemnify and hold harmless Be Tax Ready from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or misuse of the site.

14) Governing Law & Dispute Resolution (Binding Arbitration; Class Action & Jury Trial Waiver)

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.

a) Informal Resolution First.
Before filing a claim, you agree to email us at info@betaxready.com with a brief written description of the dispute and your contact information. We’ll try to resolve it informally within 30 days.

 

b) Arbitration Agreement.
If we can’t resolve it informally, you and Wizerbiz, Inc. dba Be Tax Ready agree to resolve all disputes exclusively through binding arbitration on an individual basis, rather than in court, except for the limited exceptions in subsection (e) below. You and we waive any right to a jury trial.

 

c) Rules & Forum.
Arbitration will be administered by the American Arbitration Association (AAA):

• Individuals/consumers: AAA Consumer Arbitration Rules apply.

• Businesses/organizations: AAA Commercial Arbitration Rules apply.
  The arbitration will be conducted by a single arbitrator, selected under the AAA Rules. The seat and venue will be Los Angeles County, California, but video or telephonic hearings may be used at the arbitrator’s discretion to reduce burden.

 

d) Fees & Costs; Remedies.

 

AAA rules govern fees. The arbitrator may award any remedies available under applicable law and may award attorneys’ fees and costs to the prevailing party where permitted by law. The arbitrator must follow these Terms and applicable law, and issue a reasoned written decision.

 

e) Exceptions (Small Claims & Injunctive Relief).

 

Either party may bring an individual action in small claims court in Los Angeles County (or your U.S. county of residence) for disputes within that court’s jurisdiction. Either party may also seek temporary or preliminary injunctive relief in any court of competent jurisdiction to protect confidential information, data security, or intellectual property pending arbitration.

 

f) No Class or Representative Actions.

 

Claims must be brought on an individual basis only and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims of multiple persons or preside over any form of representative proceeding.

 

g) 30-Day Opt-Out.

 

You may opt out of this arbitration agreement by sending an email to info@betaxready.com with subject line “Arbitration Opt-Out” and your full name, email address, and a clear statement that you wish to opt out, within 30 days of first accepting these Terms. Opting out will not affect other provisions of these Terms.

 

h) Time Limit to Bring Claims.

 

To the extent permitted by law, any claim arising out of or relating to these Terms or the site must be filed within one (1) year after the claim accrued; otherwise, the claim is permanently barred.

i) Severability.

 

If the class-action waiver in subsection (f) is found unenforceable as to a particular claim, then that claim must proceed in court (not arbitration). If any other part of this Section 14 is found unenforceable, the remainder will still apply.

15) Changes to the Site or Terms

​

We may modify or discontinue any part of the site at any time. We may update these Terms from time to time; the “Last updated” date reflects the latest version. Material changes will be posted on this page and are effective when posted. Your continued use of the site after changes means you accept the updated Terms.

16) Termination

 

We may suspend or terminate access to the site at any time for any reason, including violations of these Terms. Sections intended to survive (e.g., IP, Disclaimers, Limitation of Liability, Indemnification, Governing Law) will survive termination.
